Feedle (AIR) — International Sales Terms of Service
Effective Date: February 1, 2023
These Terms of Service ("Terms") govern the sale and international shipment of live reptiles and related products offered by Feedle (the "Company") to buyers located outside the Republic of Korea through the website https://air.feedle.me ("AIR Service"). By placing an order through the AIR Service, you ("Buyer") agree to be bound by these Terms.
1. Scope
1.1 These Terms apply exclusively to transactions conducted through the AIR Service, which is operated for international buyers.
1.2 For transactions conducted on https://www.feedle.me (the domestic Korean marketplace), the separate Korean Terms of Service (이용약관) shall apply.
1.3 In addition to these Terms, the Company's Live Arrival Guarantee and Ordering Guide form an integral part of the agreement between the Company and the Buyer.
2. The Company
The AIR Service is operated by Feedle Inc. (주식회사 피들), a corporation duly organized under the laws of the Republic of Korea. Contact information, business registration details, and complaint handling channels are published on the Service's footer and the Business Information page.
3. Eligibility
3.1 Buyers must be of legal age in their country of residence to enter into a binding contract for the purchase of live animals.
3.2 Buyers must verify, prior to ordering, that the species being purchased may lawfully be imported, owned, and kept in the Buyer's jurisdiction. The Company does not provide legal advice regarding the Buyer's local regulations.
3.3 The Company reserves the right to refuse any order at its sole discretion, including without limitation where the order cannot be lawfully fulfilled, where shipping to the Buyer's address is not feasible, or where fraudulent activity is suspected.
4. Ordering Process
4.1 The Buyer adds desired animals to the cart and submits an inquiry through the AIR Service or contacts the Company directly via the channels listed in the Ordering Guide (Email, Instagram, WeChat).
4.2 The Company confirms availability, calculates the total amount (including animal prices, shipping costs, and any applicable surcharges), and communicates the final invoice to the Buyer.
4.3 A binding sales contract is formed only upon the Company's receipt of the Buyer's payment in full and the Company's written confirmation of the reservation.
4.4 Reservations are not held until payment is received. Stock availability may change while the Buyer's payment is in transit.
5. Payment
5.1 Payment is made by international bank wire transfer to the account designated by the Company. Payment details (beneficiary account, SWIFT code, settlement currency) are provided during the inquiry process.
5.2 Invoices are denominated in United States Dollars (USD) or Euros (EUR), as specified on each invoice. The Company does not accept payment in any other currency, including Korean Won (KRW).
5.3 The Buyer is responsible for all bank fees, intermediary bank fees, and currency conversion charges associated with the wire transfer. The Company must receive the full invoiced amount net of such fees.
5.4 Refunds, where applicable, are issued in the same currency and the same amount originally received by the Company, net of bank fees incurred by the Company in processing the refund. The Company does not bear exchange rate risk between the date of payment and the date of refund.
6. International Shipping, Customs, and Quarantine
6.1 The Company arranges international shipment of live animals in cooperation with its logistics partners (e.g., FedEx for the United States, regional partners for Europe).
6.2 The Buyer is solely responsible for:
- (a) compliance with all import permits, quarantine requirements, and species-specific regulations in the destination country;
- (b) payment of all import duties, taxes, customs clearance fees, and any government inspection charges; and
- (c) timely retrieval of the animals from the designated delivery point (e.g., FedEx hub, reptile expo).
6.3 If shipment is delayed, refused, or destroyed by customs or quarantine authorities of the destination country due to the Buyer's failure to obtain required permits or provide required documentation, no refund will be issued for the animals or shipping costs.
6.4 The AIR Service does not handle species listed in any Appendix (I, II, or III) of the Convention on International Trade in Endangered Species of Wild Fauna and Flora ("CITES"). Orders for CITES-listed species will be cancelled at no liability to the Company.
6.5 The Buyer remains solely responsible for compliance with any non-CITES wildlife regulations of the destination country, including but not limited to species-specific import bans, invasive species regulations, and local ownership restrictions.
7. Live Arrival Guarantee
7.1 Certain animals are offered with the Company's Live Arrival Guarantee ("LAG"), the terms of which are set out at https://air.feedle.me/live-guarantee and which form an integral part of these Terms.
7.2 The LAG applies only up to the point of confirmed live arrival at the Company's designated partner facility in the Buyer's region. Once arrival is confirmed alive, the LAG terminates and no further refund is available under the LAG.
7.3 Mortality or injury occurring after live arrival confirmation is the sole responsibility of the Buyer and is not covered by the LAG, by these Terms, or by any other warranty.
7.4 Claims under the LAG must be submitted to the Company in writing within the timeframe and with the supporting evidence specified in the LAG policy.
8. Cancellation and Refund
8.1 Due to the perishable nature of live animals, orders cannot be cancelled by the Buyer once payment is received and the reservation is confirmed, except as expressly provided in these Terms or required by applicable law.
8.2 If the Company is unable to fulfill an order in whole or in part for reasons attributable to the Company, the Company shall promptly notify the Buyer and refund the corresponding amount (less bank fees) within a reasonable time.
8.3 Refunds under the Live Arrival Guarantee are processed in accordance with Section 7 and the LAG policy.
9. Animal Health and Care
9.1 The Company takes reasonable steps to ensure the health of animals prior to shipment, including veterinary inspection where applicable.
9.2 The Company does not warrant the long-term health, behavior, or breeding outcomes of any animal once the LAG has terminated.
9.3 The Buyer acknowledges that live animals require ongoing veterinary care, appropriate environmental conditions, and species-specific husbandry, and assumes full responsibility for such care from the point of live arrival confirmation.
10. Prohibited Conduct
10.1 The Buyer shall not:
- (a) attempt to import species in violation of CITES, the laws of the destination country, or any other applicable international or national regulation;
- (b) resell animals received through the AIR Service in a manner that violates applicable laws governing animal sale, distribution, or breeding;
- (c) provide false or misleading information during the ordering process; or
- (d) circumvent the Company's payment, shipping, or verification procedures.
11. Limitation of Liability
11.1 To the maximum extent permitted by law, the Company's aggregate liability arising out of or in connection with these Terms and any order placed through the AIR Service shall not exceed the total amount paid by the Buyer for the relevant order.
11.2 The Company shall not be liable for any indirect, incidental, consequential, or punitive damages, including without limitation loss of profits, loss of business, or loss arising from the breeding outcomes or behavioral characteristics of any animal.
11.3 The Company shall not be liable for delays or non-performance caused by force majeure events, including natural disasters, government actions, customs delays, airline cancellations, pandemic-related restrictions, or other circumstances beyond the Company's reasonable control.
12. Governing Law and Jurisdiction
12.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict-of-laws principles.
12.2 Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Seoul Eastern District Court (서울동부지방법원), which has territorial jurisdiction over the Company's principal place of business in Gwangjin-gu, Seoul, Republic of Korea, subject to mandatory rules of jurisdiction under applicable law.
12.3 Notwithstanding Sections 12.1 and 12.2, where the Buyer is a consumer ordinarily resident in the European Union, the European Economic Area, or the United Kingdom, the Buyer retains the benefit of any mandatory consumer protection rules of the Buyer's place of residence that cannot be derogated from by agreement. In such cases, the Buyer may also bring proceedings before the competent courts of the Buyer's place of residence as permitted by applicable law.
12.4 Buyers residing in the European Union may also have access to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
13. Amendments
13.1 The Company may amend these Terms at any time. Amendments take effect on the date posted on the AIR Service, except where applicable law requires a longer notice period.
13.2 Orders placed before an amendment becomes effective shall be governed by the version of these Terms in effect at the time of order placement.
